END USER LICENSE AGREEMENT

Trioangle Technologies Pvt. Ltd. | Perpetual License | Effective upon purchase

NOTICE TO END USER:

This EULA is a legally binding agreement between you (an individual or legal entity, "End User") and Trioangle Minds Technologies Pvt. Ltd. ("Trioangle") governing use of the purchased Software Product, including all associated source code, media, documentation, and components. By purchasing, installing, or using the Software Product, you unconditionally accept this EULA and all Governing Policies (Terms & Conditions, Privacy Policy, Refund Policy, Support Policy). If you do not agree, do not purchase, install, or use the Software Product. A valid license issued exclusively by Trioangle is required per End User.

1. LICENSE GRANT & USAGE TERMS

Trioangle grants you a non-exclusive, perpetual license to install and use the Software Product solely for your internal business operations, on the domain(s) specified in your purchased package. This license covers the version delivered at purchase only — future upgrades, new features, and major releases are not included and are available under separate commercial terms.

License tiers:

Single Domain License: One (1) production domain. Dev/staging environments permitted under the same ownership.
Multi-Domain License: Multiple domains as specified in your purchase package. Exceeding the defined domain count is a breach.

Permitted:

Modify branding elements (logos) for your own platform operations.
Make internal backup copies; all copies must retain copyright and proprietary notices.

Prohibited:

Redistribute, sublicense, resell, rent, lease, lend, or transfer the Software Product except under Section 4.
Deploy beyond licensed domain count; use as a SaaS, hosted engine for third-party products or unlawful purposes.
Share, publicly disclose, or make the source code available to any third party — in whole or in part — without Trioangle's prior written consent.

2. INTELLECTUAL PROPERTY & WHITE LABELING

The Software Product — including source code, architecture, design, algorithms, and documentation — is the sole and exclusive intellectual property of Trioangle. This EULA transfers no ownership to you. All rights not expressly granted are reserved.

You may not remove copyright notices, defeat license or DRM mechanisms, or modify core class names, algorithms, or structural elements. White-label branding removal from the end-user interface is permitted only under explicitly purchased White Label packages; it does not extend to admin panels or source code headers unless separately agreed in writing.

Trioangle is the sole authorized developer and commercial distributor of this Software Product. No third party may sell, sublicense, or redistribute it without Trioangle's written appointment. Unauthorized distribution constitutes copyright infringement and will be pursued under applicable law.

3. CUSTOMER MODIFICATIONS

You retain ownership of modifications you independently create within permitted use boundaries ("Customer Modifications"). Trioangle makes no warranties regarding Customer Modifications. You assume all liability for instability, data loss, security vulnerabilities, legal non-compliance, or end-user claims arising from them. Customer Modifications are expressly excluded from all support obligations — support requests attributable to Customer Modifications may be declined or referred to paid customization services.

4. LICENSE TRANSFER

The original purchasing End User may make a single, one-time direct transfer of the license to another end user ("Transferee"), subject to:

All components must be transferred: source code, documentation, support history, EULA, and all Governing Policies.
Prior written notification to Trioangle is mandatory, including the identities of both parties, deployment domain(s), and intended use.
The transferee must expressly accept all EULA terms and Governing Policies before receiving the Software Product.
Upon valid transfer: Transferor's license is automatically and irrevocably terminated; Transferee assumes all rights and obligations; post-transfer support requires a separate engagement with Trioangle.
Indirect transfers, chain transfers, and subsequent transfers by the Transferee are prohibited.

5. DATA PRIVACY, SECURITY & THIRD-PARTY SERVICES

5.1 Customer Data Responsibility

You are the data controller for all user data collected through your platform. You are solely responsible for lawful collection, storage, processing, deletion, user consent, and privacy disclosures. You must comply with all applicable privacy laws including GDPR, CCPA, India's DPDPA, and any other applicable regional regulations. Trioangle has no access to or control over your Customer Data and is not liable for data breaches, data loss, regulatory penalties, or mismanagement arising from your deployment.

5.2 Third-Party Services & API Keys

The Software Product may integrate with third-party services (payment gateways, maps, SMS, etc.). You are solely responsible for obtaining required API keys and credentials, complying with each third-party provider's terms of service, and ensuring lawful use. Trioangle is not affiliated with, responsible for, or liable for failures, outages, policy changes, or discontinuation of any third-party service.

6. COMPLIANCE, LEGAL USE & RESTRICTIONS

You must ensure your deployment complies with all applicable laws in your jurisdiction and those of your end users, including consumer protection, e-commerce, AML/KYC, tax, and export control regulations.

You must not:

Reverse engineer, decompile, disassemble, or decrypt any compiled component of the Software Product.
Defeat, circumvent, or disable Trioangle's license protection mechanisms or any security features of the Software Product itself.
Use the Software Product for fraudulent, deceptive, harmful, or unlawful activity.
Represent your services as provided by, endorsed by, or affiliated with Trioangle without written authorization.

7. BUSINESS CONDUCT

If you operate a business using the Software Product, you warrant your operations will not harm Trioangle's reputation; will not employ deceptive or unethical practices; will not make representations on Trioangle's behalf; and will comply with all applicable laws and intellectual property protections. You may not advertise your services as certified, sponsored by, or formally associated with Trioangle without Trioangle's express written authorization.

8. SUPPORT & REFUND POLICY

Support services are governed exclusively by Trioangle's Support Policy:

Support does not cover version upgrades, OS-driven app updates, third-party policy changes, or Customer Modifications. Support obligations do not transfer automatically upon a license transfer.

Refund terms are governed exclusively by Trioangle's Refund Policy:

Given complete source code delivery at purchase, all sales are generally final. Trioangle is not liable for fraudulent payment activity.

9. TERMINATION

Trioangle may terminate this EULA immediately if you breach any term, attempt unauthorized resale or redistribution, exceed license domain limits, conduct a transfer without prior written notification, or use the Software Product unlawfully. Upon termination, you must cease all use, uninstall all instances, and destroy all copies including backups. Continued use after termination constitutes infringement and may result in legal action.

10. NO WARRANTIES & LIMITATION OF LIABILITY

The Software Product is provided "AS IS" and "AS AVAILABLE." Trioangle and its suppliers disclaim all warranties — express, implied, or statutory — including merchantability, fitness for purpose, title, and non-infringement. The entire risk of use remains with you.

To the maximum extent permitted by law, Trioangle's total aggregate liability under this EULA is limited to the amount actually paid by you for the Software Product. Trioangle is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business interruption.

11. MISCELLANEOUS, GOVERNING LAW & DOCUMENT PRECEDENCE

Marketing Reference: Trioangle may reference your company name and website in its sales and marketing materials. If you wish to opt out, you may send a written notice to Trioangle at any time; Trioangle will cease such references within a reasonable period of receiving the written request.
Compliance Monitoring: Trioangle reserves the right to monitor EULA compliance and restrict or terminate access for non-compliance.
Severability: If any provision is unenforceable, it shall be modified minimally to be enforceable; remaining provisions remain in full effect.
Entire Agreement: This EULA, together with the Terms & Conditions, Privacy Policy, Refund Policy, and Support Policy, constitutes the entire agreement and supersedes all prior communications.
Document Precedence: In case of conflict between Governing Policies, the order of priority is: (1) EULA → (2) Support Policy → (3) Refund Policy.
Governing Law: This EULA is governed by the laws of India. All disputes are subject to the exclusive jurisdiction of courts in Madurai, Tamil Nadu, India. International End Users agree to the same unless otherwise mutually agreed in writing.
Amendments: Trioangle may update this EULA. The version active at your purchase date applies. Continued use after notification of material changes constitutes acceptance.

12. NO SOLICITATION OF EMPLOYEES

You and your representatives must not solicit, hire, engage, or refer any Trioangle employee — directly or indirectly — for employment or freelance work without Trioangle's prior written consent. Violation constitutes a material breach and may result in legal action for tortious interference and damages.
